Where
In what state should we incorporate?
- Florida
- bureaucracy's not too bad
- Wikimedia Foundation incorporated in Florida -- seems like a good sign
- $70 to file Articles of Incorporation ($87.50 with optional stuff) [1]
- required information
- name (must end in "Corporation," "Corp.," "Incorporated," or "Inc.")
- place of business and mailing address (can be anywhere)
- specific purpose for organizing the corporation
- how directors are elected or appointed
- initial directors or officers (with address and title)
- at least 18 years old
- only 1 is required
- initial registered agent (with street address in Florida)
- registered agent = the person or office designated to receive official state correspondence and notice if the corporation is sued
- incorporator's name and address (that is, the person who files the Articles)
- bureaucracy's not too bad

Name
FreeCulture.org, Inc.?
Purpose
Wikimedia's says: "to create and freely distribute a free encyclopedia in all the languages of the world". What about us? Suggestions:
- "to build a student movement for free culture" - Nelson
- "to support student involvement in free culture" - Gavin
Directors
How are directors appointed or elected? Wikimedia says: "the method of election as stated in the bylaws". Sound fine? (Bylaws don't have to be filed with the state.)
Initial Directors / Officers
Gavin and Nelson are in. It seems obvious to invite Lessig. Who else?
- Note: This doesn't have to be final to incorporate; we just need at least one
- Gavin says: I think we should choose an initial president and treasurer, at least, since people will want to know who our president is, and we need a treasurer to handle our money.

We'll need a corporate bank account somewhere. Thoughts?
